GENERAL TERMS AND CONDITIONS OF BUSINESS (GTC) OF SYMA-SYSTEM GmbH for System Technology and Exhibition Stand Construction

1. Scope of application, contract partners, conclusion of contract

a. All services provided by SYMA shall be governed by the terms of the SYMA offers and these GTC. All contracts with SYMA are concluded exclusively on the basis of the terms and conditions as stipulated herein.

b. The application of any other general terms and conditions of business, in particular those of the contractual partners, is expressly excluded. Deviating terms and conditions must be expressly confirmed in writing by SYMA in order to be valid.

c. The contractual partner assures to be an entrepreneur in the sense of the Austrian Business Code (ABC).

d. SYMA’s offers are only intended to initiate contracts and are non-binding and subject to change, unless declared legally binding in writing. SYMA’s written confirmation of the contractual partner’s order results in a contract.

e. All agreements, orders, amendments, cancellations. and terminations must be in writing in order to be valid.

f. Force majeure is the occurrence, or immediately impending or threatened occurrence, of an event or circumstance which prevents or significantly impedes performance by one contractual partner. Force majeure may only be legally invoked by a contractual partner in the following situations.

fa. The prevention or impediment cannot be remedied by the contractual partner employing reasonable means and was not foreseeable by the contractual partner at the time of concluding the contract.

fb. Events or circumstances which, if the additional requirements as stipulated in these GTC have been met, entitle a party to rescind the contract include, but are not limited to, the following:

fc. Acts of war in the country of performance of the contract, irrespective of whether the event giving rise to the war originates from outside the country or in the country itself; widespread civil commotion in the country of performance of the contract shall be deemed equivalent to acts of war. In any case, non-violent acts of preparation for a military conflict or riot are not included. Terrorist acts, if they do not directly affect the main contractual performance, are not to be understood as an event or circumstance in the sense of these GTC.

fd. Epidemics, natural disasters and fire disasters for which the contractual partner is not responsible.

fe. Release from performance as well as immunity from any claims for damages SYMA may have in direct connection with force majeure shall only be granted for that period of time during which the event or circumstance in question persists and only in connection with performance which is
actually impossible or cannot be effected employing reasonable means. If an imminent or threatening event or circumstance then does not occur, this generally constitutes force majeure. The time or period of performance should be postponed if the need arises. Withdrawals from the contract due to temporary performance impossibilities are excluded, unless in connection with performance which, in principle, can be provided but has in the meantime lost any economic sense for the contractual partner. The burden of proof in this respect shall lie with the contractual partner. Unless expressly agreed otherwise in writing, contracts of contractual partners with third parties, or their fate, shall have no influence on SYMA and agreements made with SYMA’s contractual partners.

ff. In any case, notification by the contractual partner must be given to SYMA as soon as the special situation can be recognized. Failure to give such notification means that the concrete event at issue does not constitute force majeure, even if the other requirements are met.

fg. In any case, SYMA is entitled to offer alternative solutions in case of an event that might be subject to force majeure, thus enabling the contractual partner to fulfill the contract under similar circumstances, even if performance is postponed. In such case SYMA will invest its best effort to reach an agreement with the contractual partner.

2. Rental object, rental period

a. The object of a rental contract is exclusively the used exhibition construction materials listed in the contract. The packaging of the rental object remains the property of SYMA and is to be returned.

b. The rental period as agreed in each case shall apply and no notice of termination must be given. The right to extraordinary termination remains unaffected.

c. If the contractual partner continues to use the rental object after the end of the rental period, the rental relationship shall not be deemed extended (see also item 4.e.). The continuation or renewal of the rental relationship after its expiry must be expressly agreed in writing.

3. Rental purpose, use, permits

a. The rental object is provided exclusively for the purpose of erecting mobile trade fair or exhibition structures. Any change of use is subject to SYMA’s prior written consent. Moving the rental object to a place other than the agreed trade fair or exhibition location is not permitted.

b. Unless otherwise agreed in writing, the use of the rental object is only permitted inside buildings. The contractual partner assumes liability for any damage resulting from any use of the rental object in violation of the contract.

c. The contractual partner shall be solely responsible for obtaining any permits required for the construction of mobile trade fair or exhibition stands, in particular building or usage permits, and for meeting any necessary structural requirements.

d. SYMA does not assume any guarantee that permits for the contractual partner’s intended purpose of use of the rental object can be granted.

e. The contractual partner is obliged to allow SYMA free access to the rental object at any time.

4. Rent, withdrawal, additional costs, due date, deposit, late return, setting off, guarantees

a. The rent is due in advance (see subitem l).

b. SYMA is entitled to withdraw from the contract if the contractual partner, despite a reminder to that effect, has failed to fulfil its contractual obligations to us in due time despite reminder.

c. Unless otherwise agreed, all prices are subject to the statutory value added tax as applicable from time to time.

d. The agreed total rent is an all-inclusive price for the entire rental period. An early return does not release the contractual partner from its payment obligation. Likewise, the contractual partner shall be obliged to pay if the rental item is not accepted. An ordinary termination of the rental contract is excluded.

e. If the rental object is not returned to SYMA in due time, the contractual partner agrees to pay SYMA compensation for use, for each day of delayed return, in the amount of the daily rental price calculated on the basis of the contract.

f. Unless expressly agreed otherwise in writing, the contractual partner assumes all additional costs that may incur for the rental object and its use, in particular the costs of construction and dismantling, collection or delivery, acceptance by third parties, etc.

g. The rental price in particular does not include the costs of renting space at the trade fair, connection costs, costs for approval procedures (e.g. certificate of static stability), and fees of all kind as charged by trade fair companies. These also include the costs of waste disposal, floor coverings and other residual waste, as well as all consumption costs such as electricity and water costs. Additional services must be agreed upon separately, expressly and in writing.

h. The contractual partner shall only be entitled to offset counterclaims if these have been established with legal effect or are undisputed. The same applies to any reductions and rights of retention.

i. Upon conclusion of contract, the contractual partner shall pay SYMA a deposit in the amount specified in the order. That amount is to be transferred into the SYMA account as cash security deposit and will be refunded after termination of the rental contract, if and as soon as the rental object has been returned properly, completely and without defects, and if no further claims of SYMA exist or are expected. The deposit serves in particular to secure the risk of loss and damage and to cover any claims for compensation for use.

j. Upon request and at the expense of the contractual partner, SYMA agrees to provide a warranty guarantee for the absence of SYMA’s performance resulting from the underlying contract by transfer of a fixed amount to the contractual partner upon the latter’s written request, irrespective of the legal fate of the underlying transaction.

k. If the contractual partner declares its withdrawal from the contract more than 14 days before the start of the rental period, it is obliged to pay 50%, from 14 days before the start of the rental period 75%, and from 6 days before the start of the rental period 100% of the consideration agreed with SYMA. Any further claims for damages remain expressly unaffected.

l. When the order is placed, an advance payment of the size of 100% of the agreed consideration is due and payable, unless otherwise agreed in writing in a specific case. In the event of late payment, the Austrian Business Code [UGB], section 456, shall apply.

5. Transfer of the rental object, delivery, risk, condition, insurance

a. The contractual partner agrees to collect, at its own expense, the rental object at SYMA’s seat in 2120 Wolkersdorf, or at the place indicated by SYMA, or at the place expressly agreed upon.

b. If the contractual partner wishes the rental object to be shipped, this shall be at the contractual partner’s cost and risk. The risk of deterioration and accidental loss shall pass to the contractual partner or its representative upon collection of the rental object or, in case of shipment, upon handing over of the rental object to the carrier.

c. The contractual partner takes over the rental object as it is upon conclusion of the contract, which it acknowledges as being in accordance with the contract, in particular free of material defects. The contractual partner agrees to expressly notify SYMA in writing of defects and incompleteness, if any, of the rental object upon collection or immediately upon receipt of the rental object.

d. Since the rental object is a used item or a movable, normal signs of use do not give rise to the contractual partner’s right to claim rectification, replacement or return. This also applies to color and surface deviations typical of the material.

e. For the entire term of the contract, the contractual partner agrees to take out and maintain insurance for the rental object at its own expense before commencement of the rental period, covering the risks of fire, tap water, damage by natural forces, theft and vandalism, and to furnish proof of cover upon SYMA’s request.

6. Contractual use, sublease

a. The transfer of the rental object to third parties not belonging to the contractual partner’s business requires SYMA’s explicit prior written consent. The use by the exhibitor or its agents of the mobile fair or exhibition objects erected using the rental object shall not constitute a transfer to third parties.

b. Modifications of the rental object of any kind (optical change, technical change, etc.) are subject to SYMA’s explicit prior written approval and must be removed or reversed upon termination of the rental contract, unless SYMA issues a waiver.

7. Care, maintenance/servicing and repair, damage

a. The contractual partner shall comply with all statutory provisions and official instructions with regard to the rental object and fulfil these at its own expense. The contractual partner further agrees to comply with the manufacturer’s instructions and to service the rental object, or have it serviced, in due time in a professional manner and at his own expense.

b. The contractual partner agrees to treat the rental object, including accessories, etc., with the necessary care and attention, to maintain it in good and serviceable condition and to protect it against theft. The rental object must not be pasted over, nailed, painted or otherwise damaged or impaired.

c. The contractual partner shall be liable to SYMA for any damage culpably caused by it, in particular for damage resulting from an improper handling of the rental object as well as for theft or loss of the rental object. The contractual partner assumes the same liability for damage caused by its staff, visitors, suppliers, or any other persons present in the contractual partner’s rented premises with or without its consent (see also item 8.). The contractual partner agrees to notify SYMA of any damage or loss immediately upon discovery and assumes liability for damage resulting from late notification.

8. Safety obligation, contractual partner’s liability

a. The contractual partner assumes the obligation to ensure safety of the rental object and agrees to defend and hold SYMA harmless with regard to claims resulting from a violation of the obligation to maintain safety.

b. If the contractual partner culpably violates an obligation it is bound to observed, it shall be liable for any damage arising therefrom. In the event of damage, the contractual partner shall be obliged to take all measures necessary to minimize the damage and to preserve evidence.

9. SYMA’s liability

a. SYMA shall only be liable for damages due to initial defects of the rental object if SYMA is at fault for the defect.

b. Claims for damages by the contractual partner, irrespective of their nature, including those arising from precontractual advice and tort, shall be limited to cases of intentional or grossly negligent breach of duty by SYMA or SYMA’s agents. SYMA assumes liability for slight negligence – including by SYMA’s agents and by third parties whose services SYMA make use of for the fulfillment of contractual obligations – only if a main contractual obligation has been violated. In such cases our liability shall be limited to the typically arising, foreseeable, avoidable and direct damage. The main contractual obligation is any obligation the fulfillment of which is essential for the proper execution of the contract and on the compliance with which the contractual partner may regularly rely.

c. The above exclusions and limitations of liability shall not apply in case of injury to body, life and health resulting from intentional or negligent breach of duty by SYMA or a corresponding breach of duty by a legal representative or agent. Other limitations of liability of SYMA shall remain unaffected. The aforementioned limitations of liability shall also apply in favor of our (other) staff members.

10. Return of the rental object

a. Upon termination of the rental relationship, the contractual partner shall return the rental object, together with accessories, documents, etc. to SYMA in an orderly, operable condition at SYMA’s seat in 2120 Wolkersdorf or at the agreed place of collection. If the contractual partner ships the rental object, this shall be at its own risk.

b. The contractual partner shall return the rental object properly, in the packaging provided by SYMA, sorted as received, and inform SYMA in due time explicitly and in writing about the time of return.

11. Labelling / copyright protection

a. Drafts, sketches, illustrations, drawings, designs and know-how constitute SYMA’s intellectual property and are part of a protected construction system.

b. Such design documents may be requested back by SYMA at any time. Subject to the contractual partner’s express written revocation SYMA is entitled to refer to the existing or former business relationship with the contractual partner in its own advertising media, in particular on its website, on design documents with name and company logo.

12. Severability, choice of law, data protection

a. Changes to this contract must be made in writing in order to be valid. This also applies to this written form requirement. The parties to the contract have not made any oral collateral agreements.

b. Should provisions of this contract be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions of the contract shall not be affected thereby.

c. The same applies if the contract turns out to show a regulation gap. The parties agree to replace the invalid or unenforceable provision(s), or to fill the gap, by (an) appropriate provision(s) which, as far as legally possible, come(s) as close as possible to parties’ intention, or what they would have intended in light of the contract’s meaning and purpose of the contract, had they considered that issue when concluding this contract or when subsequently adding a provision.

d. SYMA is entitled to process and store data about the contractual partner on, or received in connection with, the business relationship, irrespective of whether the data originate from the contractual partner or from third parties, in accordance with data protection law and our data protection regulations (Privacy policy).

e. All legal relations between SYMA and the contractual partner shall be governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods and private international law, even if the contractual partner has its registered office or seat abroad. Place of jurisdiction shall be Vienna. However, SYMA may also sue the contractual partner before the court having jurisdiction for the latter’s seat.

Allgemeine Verkaufsbedingungen

I. Allgemeines – Geltungsbereich

  1. Unsere Verkaufsbedingungen gelten ausschließlich; entgegenstehende oder von unseren Verkaufsbedingungen abweichende Bedingungen des Kunden erkennen wir nicht an, es sei denn, wir hätten ausdrücklich schriftlich ihrer Geltung zugestimmt. Unsere Verkaufsbedingungen gelten auch dann, wenn wir in Kenntnis entgegenstehender oder von unseren Verkaufsbedingungen abweichender Bedingungen des Kunden die Lieferung an den Kunden vorbehaltlos ausführen.
  2. Alle Vereinbarungen, die zwischen uns und dem Kunden zwecks Ausführung dieses Vertrages getroffen werden, sind in diesem Vertrag schriftlich niedergelegt.
  3. Unsere Verkaufsbedingungen gelten nur gegenüber Unternehmern im Sinn von § 310 Abs. 1 BGB.

II. Angebot – Angebotsunterlagen

  1. Ist die Bestellung als Angebot gemäß § 145 BGB zu qualifizieren, so können wir dieses innerhalb von 2 Wochen annehmen.
  2. An Abbildungen, Zeichnungen, Kalkulationen und sonstigen Unterlagen behalten wir uns Eigentums- und Urheberrechte vor. Dies gilt auch für solche schriftlichen Unterlagen, die als “vertraulich” bezeichnet sind. Vor ihrer Weitergabe an Dritte bedarf der Kunde unserer ausdrücklichen schriftlichen Zustimmung.

III. Preise – Zahlungsbedingungen

  1. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, gelten unsere Preise “ab Werk”, ausschließlich Verpackung; diese wird gesondert in Rechnung gestellt.
  2. Die gesetzliche Mehrwertsteuer ist nicht in unseren Preisen eingeschlossen; sie wird in gesetzlicher Höhe am Tag der Rechnungsstellung in der Rechnung gesondert ausgewiesen. 
  3. Der Abzug von Skonto bedarf besonderer schriftlicher Vereinbarung.
  4. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist der Kaufpreis netto (ohne Abzug) innerhalb von 30 Tagen ab Rechnungsdatum zur Zahlung fällig. Es gelten die gesetzlichen Regeln betreffend die Folgen des Zahlungsverzugs.
  5. Aufrechnungsrechte stehen dem Kunden nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unbestritten oder von uns anerkannt sind. Außerdem ist er zur Ausübung eines Zurückbehaltungsrechts insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht.

  3. Kommt der Kunde in Annahmeverzug oder verletzt er schuldhaft sonstige Mitwirkungspflichten, so sind wir berechtigt, den uns insoweit entstehenden Schaden, einschließlich etwaiger Mehraufwendungen ersetzt zu verlangen. Weitergehende Ansprüche bleiben vorbehalten.
  4. Sofern die Voraussetzungen von Abs. 3 vorliegen, geht die Gefahr eines zufälligen Untergangs oder einer zufälligen Verschlechterung der Kaufsache in dem Zeitpunkt auf den Kunden über, in dem dieser in Annahme- oder Schuldnerverzug geraten ist. 
  5. Wir haften nach den gesetzlichen Bestimmungen, soweit der zugrundeliegende Kaufvertrag ein Fixgeschäft im Sinn von § 286 Abs. 2 Nr. 4 BGB oder von § 376 HGB ist. Wir haften auch nach den gesetzlichen Bestimmungen, sofern als Folge eines von uns zu vertretenden Lieferverzugs der Kunde berechtigt ist geltend zu machen, dass sein Interesse an der weiteren Vertragserfüllung in Fortfall geraten ist. 
  6. Wir haften ferner nach den gesetzlichen Bestimmungen, sofern der Lieferverzug auf einer von uns zu vertretenden vorsätzlichen oder grob fahrlässigen Vertragsverletzung beruht; ein Verschulden unserer Vertreter oder Erfüllungsgehilfen ist uns zuzurechnen. Sofern der Lieferverzug nicht auf einer von uns zu vertretenden vorsätzlichen Vertragsverletzung beruht, ist unsere Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
  7. Wir haften auch nach den gesetzlichen Bestimmungen, soweit der von uns zu vertretende Lieferverzug auf der schuldhaften Verletzung einer wesentlichen Vertragspflicht beruht; in diesem Fall ist aber die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
  8. Im Übrigen haften wir im Fall des Lieferverzugs für jede vollendete Woche Verzug im Rahmen einer pauschalierten Verzugsentschädigung in Höhe von 3% des Lieferwertes, maximal jedoch nicht mehr als 15% des Lieferwertes.
  9. Weitere gesetzliche Ansprüche und Rechte des Kunden bleiben vorbehalten.

V. Transportkosten - Gefahrenübergang

  1. Wir liefern auf unser Risiko an den vereinbarten Ort.
  2. Die Transportkosten trägt der Käufer. Die Höhe der Transportkosten wird in der Auftragsbestätigung gesondert ausgeworfen. Soweit aus Art der Ware die Höhe der Transportkosten im Zeitpunkt der Auftragsbestätigung noch nicht mitgeteilt werden kann, werden die entstehenden Kosten unverzüglich nachgemeldet.

VI. Mängelhaftung

  1. Mängelansprüche des Kunden setzen voraus, dass dieser seinen nach § 377 HGB geschuldeten Untersuchungs- und Rügeobliegenheiten ordnungsgemäß nachgekommen ist. 
  2. Soweit ein Mangel der Kaufsache vorliegt, sind wir nach unserer Wahl zur Nacherfüllung in Form einer Mangelbeseitigung oder zur Lieferung einer neuen mangelfreien Sache berechtigt. Im Falle der Mängelbeseitigung tragen wir die Aufwendungen nur bis zur Höhe des Kaufpreises.
  3. Schlägt die Nacherfüllung fehl, so ist der Kunde nach seiner Wahl berechtigt, Rücktritt oder Minderung zu verlangen.
  4. Wir haften nach den gesetzlichen Bestimmungen, sofern der Kunde Schadensersatzansprüche geltend macht, die auf Vorsatz oder grober Fahrlässigkeit, einschließlich von Vorsatz oder grober Fahrlässigkeit unserer Vertreter oder Erfüllungsgehilfen beruhen. Soweit uns keine vorsätzliche Vertragsverletzung angelastet wird, ist die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
  5. Wir haften nach den gesetzlichen Bestimmungen, sofern wir schuldhaft eine wesentliche Vertragspflicht verletzen; in diesem Fall ist aber die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
  6. Die Haftung wegen schuldhafter Verletzung des Lebens, des Körpers oder der Gesundheit bleibt unberührt; dies gilt auch für die zwingende Haftung nach dem Produkthaftungsgesetz.
  7. Soweit nicht vorstehend etwas Abweichendes geregelt, ist die Haftung ausgeschlossen.
  8. Die Verjährungsfrist für Mängelansprüche beträgt 12 Monate, gerechnet ab Gefahrenübergang.
  9. Die Verjährungsfrist im Fall eines Lieferregresses nach den §§ 478, 479 BGB bleibt unberührt; sie beträgt fünf Jahre, gerechnet ab Ablieferung der mangelhaften Sache.

VII. Gesamthaftung

  1. Eine weitergehende Haftung auf Schadensersatz als in § 6 vorgesehen, ist – ohne Rücksicht auf die Rechtsnatur des geltend gemachten Anspruchs – ausgeschlossen. Dies gilt insbesondere für Schadensersatzansprüche aus Verschulden bei Vertragsabschluss, wegen sonstiger Pflichtverletzungen oder wegen deliktischer Ansprüche auf Ersatz von Sachschäden gemäß § 823 BGB.
  2. Die Begrenzung nach Abs. (1) gilt auch, soweit der Kunde anstelle eines Anspruchs auf Ersatz des Schadens, statt der Leistung Ersatz nutzloser Aufwendungen verlangt.
  3. Soweit die Schadensersatzhaftung uns gegenüber ausgeschlossen oder eingeschränkt ist, gilt dies auch im Hinblick auf die persönliche Schadensersatzhaftung unserer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen.

VIII. Eigentumsvorbehaltssicherung

  1. Wir behalten uns das Eigentum an der Kaufsache bis zum Eingang aller Zahlungen aus dem Liefervertrag vor.
  2. Bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug, sind wir berechtigt, die Kaufsache zurückzunehmen. In der Zurücknahme der Kaufsache durch uns liegt ein Rücktritt vom Vertrag. Wir sind nach Rücknahme der Kaufsache zu deren Verwertung befugt, der Verwertungserlös ist auf die Verbindlichkeiten des Kunden – abzüglich angemessener Verwertungskosten – anzurechnen.
  3. Der Kunde ist verpflichtet, die Kaufsache pfleglich zu behandeln; insbesondere ist er verpflichtet, diese auf eigene Kosten gegen Feuer-, Wasser- und Diebstahlsschäden ausreichend zum Neuwert zu versichern. Sofern Wartungs- und Inspektionsarbeiten erforderlich sind, muss der Kunde diese auf eigene Kosten rechtzeitig durchführen.
  4. Bei Pfändungen oder sonstigen Eingriffen Dritter hat uns der Kunde unverzüglich schriftlich zu benachrichtigen, damit wir Klage gemäß § 771 ZPO erheben können. Soweit der Dritte nicht in der Lage ist, uns die gerichtlichen und außergerichtlichen Kosten einer Klage gemäß § 771 ZPO zu erstatten, haftet der Kunde für den uns entstandenen Ausfall. 
  5. Der Kunde ist berechtigt, die Kaufsache im ordentlichen Geschäftsgang weiter zu verkaufen; er tritt uns jedoch bereits jetzt alle Forderungen in Höhe des Fakturaendbetrages (einschließlich MWSt) unserer Forderung ab, die ihm aus der Weiterveräußerung gegen seine Abnehmer oder Dritte erwachsen, und zwar unabhängig davon, ob die Kaufsache ohne oder nach Verarbeitung weiter verkauft worden ist. Zur Einziehung dieser Forderung bleibt der Kunde auch nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst einzuziehen, bleibt hiervon unberührt. Wir verpflichten uns jedoch, die Forderung nicht einzuziehen, solange der Kunde seinen Zahlungsverpflichtungen aus den vereinnahmten Erlösen nachkommt, nicht in Zahlungsverzug gerät und insbesondere kein Antrag auf Eröffnung eines Vergleichsoder Insolvenzverfahrens gestellt ist oder Zahlungseinstellung vorliegt. Ist aber dies der Fall, so können wir verlangen, dass der Kunde uns die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen Angaben macht, die dazugehörigen Unterlagen aushändigt und den Schuldnern (Dritten) die Abtretung mitteilt.
  6. Die Verarbeitung oder Umbildung der Kaufsache durch den Kunden wird stets für uns vorgenommen. Wird die Kaufsache mit anderen, uns nicht gehörenden Gegenständen verarbeitet, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Kaufsache (Fakturaendbetrag, einschließlich MWSt) zu den anderen verarbeiteten Gegenständen zur Zeit der Verarbeitung. Für die durch Verarbeitung entstehende Sache gilt im Übrigen das Gleiche wie für die unter Vorbehalt gelieferte Kaufsache.
  7. Wird die Kaufsache mit anderen, uns nicht gehörenden Gegenständen untrennbar vermischt, so erwerben wir das Miteigentum an der neuen Sache im Verhältnis des Wertes der Kaufsache (Fakturaendbetrag, einschließlich MWSt) zu den anderen vermischten Gegenständen zum Zeitpunkt der Vermischung. Erfolgt die Vermischung in der Weise, dass die Sache des Kunden als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Kunde uns anteilmäßig Miteigentum überträgt. Der Kunde verwahrt das so entstandene Alleineigentum oder Miteigentum für uns.
  8. Der Kunde tritt uns auch die Forderungen zur Sicherung unserer Forderungen gegen ihn ab, die durch die Verbindung der Kaufsache mit einem Grundstück gegen einen Dritten erwachsen.
  9. Wir verpflichten uns, die uns zustehenden Sicherheiten auf Verlangen des Kunden insoweit freizugeben, als der realisierbare Wert unserer Sicherheiten die zu sichernden Forderungen um mehr als 10% übersteigt; die Auswahl der freizugebenden Sicherheiten obliegt uns.

IX. Gebrauchsmuster – und/oder Patentschutz

  1. Unsere Waren gehören zu einem komplexen Konstruktionssystem, das vielfältig durch internationale Geschmaksmuster, Gebrauchsmuster und/oder Patente geschützt ist. Unser Material ist auf Befragen eindeutig zum SYMA-SYSTEM gehörig zu benennen und unsere Entwürfe und Konstruktionen unterliegen außerdem dem Urheberrechtsschutz. Der Kunde haftet für alle Schäden, die uns eventuell aus der Verletzung vorstehender Verpflichtungen und/oder Schutzrechte entstehen. 

X. Gerichtsstand – Erfüllungsort

  1. Sofern der Kunde Kaufmann ist, ist unser Geschäftssitz Gerichtsstand; wir sind jedoch berechtigt, den Kunden auch an seinem Wohnsitzgericht zu verklagen.
  2. Es gilt das Recht der Bundesrepublik Deutschland; die Geltung des UN-Kaufrechts ist ausgeschlossen.
  3. Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist unser Geschäftssitz Erfüllungsort.

Terms and conditions of sale, rental and delivery




I. General conditions

1. Conclusion

Our de­liv­er­ies (which in these pro­vi­sions in­clude sales, work pro­duc­tion and rentals) and ser­vices are pro­vid­ed ex­clu­sive­ly on the ba­sis of the fol­low­ing terms and con- di­tions («GTC»). They shall ap­ply as soon as­they have be­come part of the con­tract with the cus­tomer. This is the case if the GTC are ex­press­ly des­ig­nat­ed as an in­te­gral part of the con­tract and/or if we re­fer to the GTC, ei­ther by en­clos­ing them with or print­ingth­em on of­fers, or­der con­fir­ma­tions, de­liv­ery notes and in­voic­es or by pro- vid­ing a link to our web­site where the text of these GTC can be viewed (GTC syma. com). De­vi­at­ing pro­vi­sions in the Gen­er­al Terms and­Con­di­tions of the cus­tomer or third par­ties are only bind­ing in­so­far as they have been ex­press­ly ac­cept­ed by us in writ­ing. Our si­lence re­gard­ing the cus­tomer›s Gen­er­al Terms and Con­di­tions shall in no case be­deemed to be an ac­knowl­edge­ment of or con­sent to the cus­tomer›s Gen­er­al Terms and Con­di­tions. We shall not be bound by them, even if we do not ob­ject to them when con­clud­ing the con­tract. Our Gen­er­al Terms and Con­di­tions shall be deemed to have been ac­cept­ed at the lat­est upon re­ceipt of the de­liv­ery or pro­vi­sion of the ser­vice. Con­tracts and agree­ments – in par­tic­u­lar in­so­far as they amend these terms and con­di­tions – shall only be­come bind­ing for us upon our writ­ten con­fir­ma­tion. Our cur­rent GTCs shall ap­ply in each case. We are en­ti­tled to amend them. They shall be deemed to have been ac­cept­ed if the cus­tomer does not ob­ject to them in writ­ing 30 days af­ter no­ti­fi­ca­tion of the amend­ed GTCs (which shall also in­clude their pub­li­ca­tion on our web­site).

2. Offers

Our of­fers are non-bind­ing and sub­ject to change un­less oth­er­wise stat­ed in the of­fer. As long as the con­tract has not been con­clud­ed, all doc­u­ments sub­mit­ted with the of­fer re­main our prop­er­ty and their use is pro­hib­it­ed.

3. Prices and payment terms

Our prices are quot­ed in Swiss francs net ex works or ex ware­house. Costs for pack­ag­ing, ship­ping, for­ward­ing/freight, in­sur­ance, tax­es, fees, cus­toms du­ties, levies, etc. shall be shown and charged sep­a­rate­ly. We are en­ti­tled to ad­just the agreed prices if the prices of raw ma­te­ri­als, ma­te­ri­als or ser­vices in­crease since send­ing the of­fer to the cus­tomer. The ap­plic­a­bil­i­ty of Art. 373 (1) Swiss Code of Oblig­a­tions (OR) is here­by ex­plic­it­ly ex­clud­ed. The prices for rental ma­te­r­i­al shall ap­ply in each case for the du­ra­tion of the event. The con­clud­ed con­tract shall only come into force af­ter the con­trac­tu­al­ly agreed ad­vance pay­mentshave been made. SYMA-SYS­TEM AG ac­cepts no li­a­bil­i­ty what­so­ev­er for de­lays re­sult­ing from fail­ure to com­ply with the pay­ment terms. De­liv­er­ies are made against in­voice. If no oth­er pay­ment pe­ri­od has beena­greed, a net pay­ment pe­ri­od of 30 days from the in­voice date shall ap­ply. Fol­low­ing ex­piry of this pay­ment pe­ri­od, the cus­tomer shall auto- mat­i­cal­ly be in de­fault with­out a re­minder be­ing re­quired. In case of doub­tas to the sol­ven­cy of the cus­tomer, we re­serve the right to per­form de­liv­er­ies or ser­vices only against ad­vance pay­ment, a let­ter of cred­it con­firmed by a Swiss bank or against oth­er col­lat­er­al. Pay­ment by off­set­ting against coun­ter­claims is only per­mis­si­ble if such coun­ter­claims have been ex­press­ly recog­nised by us in writ­ing or have been es­tab­lished by a fi­nal court de­ci­sion.

4. Small quantities

In the case of small quan­ti­ties, we re­serve the right to charge min­i­mum in­voice amounts, ad­di­tion­al pro­cess­ing fees and oth­er costs. The min­i­mum or­der val­ue is CHF 1,000.00 gross.

5. Reservation of title

In the case of sales and work pro­duc­tion, our de­liv­er­ies shall re­main our prop­er­ty un­til pay­ment of all our claims, ir­re­spec­tive of the le­gal ba­sis. This also ap­plies pro­por­tion­ate­ly in the case of fur­ther pro­cess­ing.We may have the re­ten­tion of ti­tle en­tered in the reg­is­ter of re­ten­tion of ti­tle in the name and at the ex­pense of the cus­tomer. The cus­tomer is only en­ti­tled and au­tho­rised to re­sell the re­served goods on the­con­di­tion that the claim from the re­sale is trans­ferred to us. It is not en­ti­tled to dis­pose of the re­served goods in any oth­er way. At our re­quest, it shall be oblig­ed to in­form its cus­tomer of the as­sign­ment for the pur­pose of pay­ment to us. The cus­tomer must in­form us im­me­di­ate­ly of any seizure or oth­er im­pair­ment by third par­ties. In the case of rent­ed ma­te­r­i­al, the lessee is oblig­ed to no­ti­fy us im­me­di­ate­ly by reg­is­tered let­ter of any seizure, re­ten­tion or con­fis­ca­tion of the rent­ed ma­te­r­i­al or of any bank­rupt­cy pro­ceed­ings ini­ti­at­ed against it and to in­form the com­pe­tent debt en­force­ment or bank­rupt­cy of­fice of our own­er­ship of the rent­ed ma­te­r­i­al.

II. Execution of deliveries and provision of services

1. Delivery period, delivery date

De­liv­ery dates or de­liv­ery pe­ri­ods are bind­ing if agreed in writ­ing. The de­liv­ery pe­ri­od shall com­mence on the date of our ac­cep­tance of the or­der, but not be­fore com­plete clar­i­fi­ca­tion of all ex­e­cu­tion de­tails. If­ship­ment is im­pos­si­ble through no fault of our own, the de­liv­ery date shall be deemed to have been met upon the le­gal no­ti­fi­ca­tion of readi­ness for ship­ment. If we are in de­fault, the cus­tomer must grant us a rea­son­able pe­ri­od of grace. Af­ter ex­piry of this pe­ri­od of grace, the cus­tomer may with­draw from the con­tract in­so­far as the de­liv­ery has not been re­port­ed as ready for ship­ment by the ex­piry of the dead­line. We shall also be en­ti­tled to a rea­son­able ex­ten­sion of the de­liv­ery pe­ri­od or post­pone­ment of the de­liv­ery date if we are un­able to pro­vide the de­liv­ery on time due to force ma­jeure or a short­age of raw ma­te­ri­als. Ourli­a­bil­i­ty for a de­lay in de­liv­ery, as well as li­a­bil­i­ty for an­cil­lary staff and for slight and medi­um neg­li­gence is ex­clud­ed to the ex­tent per­mit­ted by law, in­so­far as ap­plic­a­ble. Th­e­asser­tion of claims for dam­ages and con­se­quen­tial dam­ages aris­ing from non-com­pli­ance with de­liv­ery pe­ri­ods or de­liv­ery dates is ex­clud­ed. We are en­ti­tled to make par­tial de­liv­er­ies. This clause ap­plies mu­tatis mu­tan­dis to the pro­vi­sion of ser­vices.

2. Force majeure

Force ma­jeure events such as ex­tra­or­di­nary nat­ur­al events (in­un­da­tion, hur­ri­cane, land­slide, etc.), con­fla­gra­tion, war, civ­il war, rev­o­lu­tion, civ­il un­rest, strike, ter­ror­ism, si- gnif­i­cant op­er­a­tional dis­rup­tion, sab­o­tage, epi­dem­ic/pan­dem­ic, of­fi­cial re­quire­ments, un­avail­abil­i­ty or in­suf­fi­cient avail­abil­i­ty and/or dis­pro­por­tion­ate­ly high pro­cure­ment costs of raw ma­te­ri­als, en­er­gy, aux­il­iary ma­te­ri­als and trans­port ca­pac­i­ties shall en­ti­tle us to post­pone the de­liv­ery or pro­vi­sion of ser­vices for the du­ra­tion of the hin­drance and a rea­son­able start-up pe­ri­od or to with­draw from the con­tract with re­gard to the part not yet ful­filled. Cir­cum­stances that­make de­liv­ery sig­nif­i­cant­ly more dif­fi­cult or im­pos­si­ble for us shall also be deemed to be equiv­a­lent to force ma­jeure. The cus­tomer may de­mand that we de­clare whether we wish to with­draw from the con­tract or de­liv­er with­in a rea­son­able pe­ri­od. If we do not make a de­c­la­ra­tion to this ef­fect, the cus­tomer may with­draw from the con­tract.
In the event of can­cel­la­tions or oth­er force ma­jeure events due to the COVID-19 pan­dem­ic or sim­i­lar pan­demics, the can­cel­la­tion con­di­tions of SYMA shall ap­ply in the cur­rent­ly valid ver­sion, which can be viewe­dat the fol­low­ing link and which form an in­te­gral part of these GTC.

3. Alternative materials

We are en­ti­tled to use al­ter­na­tive ma­te­r­i­al than the agreed ma­te­r­i­al for de­liv­er­ies if the al­ter­na­tive ma­te­r­i­al ful­fils the same pur­pose or the same func­tion as the agreed ma­te­r­i­al.

4. Shipment and transfer of risk

In the case of rental/sale ex works, the risk – in­clud­ing any seizure – shall pass to the cus­tomer when the de­liv­ery is hand­ed over to the for­ward­ing agent or car­ri­er, but at the lat­est when the goods leave the fac­to­ry­or ware­house. De­liv­er­ies re­port­ed as ready for ship­ment on the agreed date must be called off im­me­di­ate­ly, oth­er­wise or in the event of im­pos­si­bil­i­ty of ship­ment, we shall be en­ti­tled to store them at our dis­cre­tion­at the ex­pense and risk of the cus­tomer and to in­voice them as de­liv­ered ex works or ex ware­house.

5. Delivery

If per­son­al de­liv­ery is not pos­si­ble due to the cus­tomer›s rep­re­sen­ta­tive be­ing ab­sent, our rep­re­sen­ta­tive shall leave the goods be­hind. The cus­tomer›s risk and duty of care shall com­mence at the time of de­liv­ery,even if this takes place with­out per­son­al de­liv­ery, and shall end in the case of a rental when the goods are re­turned to the lessor.

6. Inspection of the goods, notification of defects, warranty

We un­der­take to pre­pare and de­liv­er the goods or ser­vices in ac­cor­dance with the con­tract. We do not pro­vide any war­ran­ty for de­fects which are the re­sult of dam­age to the goods af­ter they have left the fac­to­ry,im­prop­er stor­age, in­cor­rect pro­cess­ing or in­cor­rect use by the cus­tomer. It is the cus­tomer›s re­spon­si­bil­i­ty to ex­er­cise all the due care that can be ex­pect­ed of a pro­fes­sion­al dur­ing han­dling, stor­age and­pro­cess­ing. The goods and/or the ser­vice shall be in­spect­ed and ac­cept­ed by the cus­tomer on the oc­ca­sion of the han­dover or de­liv­ery. The goods or ser­vices shall be deemed to have been ap­proved once the ac­cep­tance has tak­en place or the ser­vice has been ac­cept­ed with­out reser­va­tion. Hid­den de­fects must be re­port­ed in writ­ing im­me­di­ate­ly af­ter dis­cov­ery, but at the lat­est with­in three days af­ter re­ceipt of the­goods or ser­vices. In the event of jus­ti­fied com­plaints, our war­ran­ty shall be lim­it­ed to the de­liv­ery of a flaw­less re­place­ment. The cus­tomer shall not be en­ti­tled to rescis­sion, re­duc­tion or any com­pen­sa­tion for in­di­rect, di­rect or con­se­quen­tial dam­age in­curred by him or third par­ties. If the cus­tomer com­plains about de­fects to only part of the de­liv­ered goods or ser­vices, it is oblig­ed to pay the price for the un­ob­ject­ed part in due time. If the cus­tomer has suf­fered dam­age as a re­sult of de­fec­tive goods or ser­vices, we un­der­take to com­pen­sate this dam­age in­so­far as the cus­tomer can prove in­tent or gross neg­li­gence on our­part or li­a­bil­i­ty un­der the Prod­uct Li­a­bil­i­ty Act is com­pul­so­ri­ly ap­plic­a­ble. The claims of the cus­tomer in the event of de­fec­tive goods or ser­vices are de­scribed con­clu­sive­ly in this clause.

7. Period of limitation

The customer’s claims arising from defective goods or services shall become statute-barred one year after the goods or services have been delivered, unless mandatory statutory provisions provide for a longer period of limitation.

8. Return of the leased property

The lessee un­der­takes to re­turn the leased prop­er­ty to us at the lo­ca­tion where it was hand­ed over (un­less oth­er­wise agreed) on the last day of the con­tract pe­ri­od. Any right of re­ten­tion of the lessee to the rent­ed­prop­er­ty for any claims against us is ex­clud­ed. The lessee shall be li­able to us for all nec­es­sary re­pairs and main­te­nance work which are not at­trib­ut­able to nor­mal wear and tear of the leased prop­er­ty.

9. Deposited materials

The cus­tomer shall bear the risk for the cus­tomer›s ma­te­r­i­al which is stored, kept, de­posit­ed with us or oth­er­wise made avail­able for stor­age. Any claims against us due to dam­age, de­struc­tion or loss of the cus­tomer›s de­posit­ed ma­te­r­i­al shall be ex­clud­ed to the ex­tent per­mit­ted by law.

10. Information

Bind­ing li­a­bil­i­ty for tech­ni­cal in­for­ma­tion can only be as­sumed if this has been con­firmed in writ­ing.

11. Exclusion of Liability

All cas­es of breach of con­tract and their le­gal con­se­quences, as well as all claims of the cus­tomer, ir­re­spec­tive of the legal­ba­sis on which they are made, are con­clu­sive­ly reg­u­lat­ed in these GTC. In par­tic­u­lar, all claims for dam­ages, re­duc­tion,rescis­sion or with­draw­al from the con­tract not ex­press­ly men­tioned are ex­clud­ed. Un­der no cir­cum­stances shall the­cus­tomer have any claims for com­pen­sa­tion for dam­ages not di­rect­ly af­fect­ing the goods or ser­vices them­selves, such asloss of pro­duc­tion, loss of use, loss of or­ders, loss of prof­it, un­re­alised sav­ings, lost pro­cess­ing, as­sem­bly or en­er­gy­costs, loss of data, all costs as­so­ci­at­ed with re­moval/ex­ca­va­tion, as well as in­stal­la­tion/bur­ial, search costs, ad­di­tion­al­test­ing, sort­ing and oth­er han­dling costs, re­call costs, costs for lost raw ma­te­ri­als, dis­pos­al costs as well as for­com­pen­sa­tion for such claims from cus­tomers of the cus­tomer or third par­ties. The lim­i­ta­tion of li­a­bil­i­ty shall also ap­ply in­so­far as we are li­able for our an­cil­lary staff. The lim­i­ta­tion of li­a­bil­i­ty shall not ap­ply in­so­far as it is con­trary to manda­to­ry law, such as in par­tic­u­lar for un­law­ful in­tent or gross neg­li­gence, for fraud­u­lent­ly con­cealed de­fects, for di­rect claims aris­ing from per­son­al in­jury and for manda­to­ry claims un­der the ap­plic­a­ble prod­uct li­a­bil­i­ty law.

12. Intellectual property rights

The know-how de­vel­oped and/or pro­vid­ed by us with­in the scope of the (ser­vice) pro­vi­sion shall al­ways be­long to us. No in­tan­gi­bles shall be trans­ferred upon con- clu­sion and per­for­mance of a con­tract be­tween us and the cus­tomer.The trans­fer of the know-how pro­vid­ed in con­nec­tion with the goods or ser­vices to third par­ties, which also in­clude­scom­pa­nies af­fil­i­at­ed with the cus­tomer, is not per­mit­ted. In the event of a breach of third-par­ty in­tel­lec­tu­al prop­er­ty rights, the cus­tomer un­der­takes to take over the dis­pute with the third par­ty and to in­dem­ni­fy us in full.

13. Confidentiality and data protection

The con­tract­ing par­ties shall treat all com­mer­cial and tech­ni­cal in­for­ma­tion re­lat­ing to the busi­ness ac­tiv­i­ties of the oth­er con­tract­ing par­ty that come to their knowl­edge in the course of their busi­ness re­la­tion­ship as strict­ly con­fi­den­tial and­shall nei­ther dis­close it to third par­ties nor use it for pur­pos­es oth­er than those agreed. Per­son­al data will only be processed by us in com­pli­ance with the rel­e­vant laws.

III. Miscellaneous

1. Applicable law, place of performance and place of jurisdiction

Swiss law shall ap­ply in all cas­es, to the ex­clu­sion of the UN Con­ven­tion on Con­tracts for the In­ter­na­tion­al Sale of Goods(CISG), con­flict of law rules and for­eign law. The ex­clu­sive place of per­for­mance and the ex­clu­sive place of ju­ris­dic­tion shall be in Kirch­berg/SG, Switzer­land. We are also en­ti­tled to sue the cus­tomer at its gen­er­al place of ju­ris­dic­tion or that of our sup­ply­ing branch­es. The fore­go­ing shall also ap­ply to all those who are li­able for the cus­tomer›s oblig­a­tion.


The in­va­lid­i­ty of in­di­vid­ual pro­vi­sions shall not af­fect the va­lid­i­ty of the re­main­ing terms and con­di­tions.


In the event of any le­gal dis­pute, the orig­i­nal Ger­man ver­sion of the Gen­er­al Terms and Con­di­tions shall ap­ply.
